  • ℹ️ Note: Any additional features or updates proposed outside of the original agreed-upon scope may result in project revision and additional billing charges.

4. Payments & Billing

Milestone Invoicing

Payments must follow agreed milestone schedules strictly.

Delayed Payments

May prompt project pauses, service suspension, or extra charges.

No Refunds Policy

All milestone fees are non-refundable unless specified in writing.

5. Intellectual Property

  • Upon complete receipt of all agreed payments, complete legal ownership of final custom-developed deliverables is fully transferred to the client, unless explicitly structured otherwise.

  • Cognito Infotech retains the standard commercial right to exhibit completed project highlights, interfaces, and stats inside our business portfolio and public marketing assets, unless restricted under an active Non-Disclosure Agreement (NDA).

To maintain a productive workflow, engaging clients agree to:

Ensure no unlawful, copyrighted, or plagiarized material is provided without prior authorized consent.

Maintain robust and consistent communication channels during project planning and development cycles.

Promptly review project deliverables within a reasonable and mutually agreed timeline.

7. Confidentiality

Both parties (Cognito Infotech and the client) explicitly agree to safeguard and maintain the highest confidentiality regarding sensitive business operations, trade secrets, software architecture designs, and billing files exchanged during project duration.

8. Limitation of Liability

Cognito Infotech, its directors, and employees shall not be held liable or responsible for:

Indirect, incidental, or consequential commercial damages.

Data loss or software bugs caused by external, third-party services.

Sudden system downtime or outages beyond our reasonable control.

Direct business losses arising from client misuse of delivered solutions.

9. Third-Party Services

Delivered digital solutions may involve the integration of third-party platforms, APIs, hosting servers, payment systems, or plugins. Please note that we cannot be held responsible for sudden service modifications, API updates, billing changes, or system disruptions enacted by these external services.

10. Website Usage Restrictions
